Vendor Terms and Conditions
Please read these Vendor Terms and Conditions carefully.
By checking the acceptance box, submitting a vendor application, or listing or selling products through EvergreenMakers, you agree to these terms.
1. About the Marketplace
EvergreenMakers is an online marketplace that allows approved vendors to list and sell products through the EvergreenMakers storefront. EvergreenMakers may update the marketplace, seller tools, policies, and operating rules from time to time.
2. Vendor Eligibility and Approval
To apply, you must provide complete and accurate business information, including your legal name, business name if any, contact information, payout details, tax information, and any documents requested during onboarding.
Submitting an application does not guarantee approval. EvergreenMakers may approve, decline, pause, or remove any application or vendor account at its discretion, including for quality control, safety, compliance, platform fit, customer experience, or risk management reasons.
You agree to keep your account information current at all times.
3. Products Allowed on the Marketplace
Only products that meet EvergreenMakers marketplace standards may be listed. Products must match the eligibility rules, quality standards, and category rules provided during onboarding or in later seller policies.
Unless EvergreenMakers states otherwise in writing, vendors may list only products that are lawful to sell, safe for consumer use, accurately described, properly packaged, and ready for shipment within the United States.
EvergreenMakers may prohibit or remove any product at any time, including products that are restricted, unsafe, misleading, poor quality, infringing, inconsistent with brand standards, or outside the scope of the marketplace.
4. Vendor Responsibilities
You are responsible for your products, your listings, and your business operations. This includes:
providing accurate product titles, descriptions, images, ingredients, materials, dimensions, warnings, care instructions, pricing, and shipping information
keeping inventory, variants, pricing, tags, and product details up to date
making sure your products comply with all applicable laws, regulations, labeling rules, safety requirements, and industry standards
obtaining and maintaining any licenses, permits, registrations, or insurance required for your products or business
making sure all claims in your listings, packaging, and marketing are truthful and supported
making sure your products do not infringe any copyright, trademark, patent, trade dress, publicity, privacy, or other rights of any person or company
If your products include food, body care, wellness items, products used by children, or other regulated goods, you are solely responsible for complying with all applicable requirements before listing them for sale.
5. Prohibited Conduct
You may not:
submit false, misleading, incomplete, or outdated information
list counterfeit, stolen, recalled, unsafe, expired, or otherwise noncompliant products
misrepresent product origin, ingredients, materials, condition, availability, or value
use misleading sale prices, fake comparison prices, or deceptive promotional claims
upload content you do not have permission to use
interfere with the marketplace, other vendors, or customers
attempt to avoid commissions, fees, or platform rules
use customer information for any purpose other than fulfilling orders and providing necessary customer service related to those orders, unless you have separate lawful consent.
6. Listings, Content, and Brand Use
You keep ownership of the content you provide, including your product photos, descriptions, logos, and brand materials. However, by applying or listing products, you give EvergreenMakers a nonexclusive, royalty free, worldwide license to use, reproduce, display, distribute, crop, resize, format, translate, and promote that content in connection with operating, advertising, improving, and promoting the marketplace.
You represent that you have all rights needed to provide that content and to grant this permission.
EvergreenMakers may edit listing text, tags, formatting, and product placement for consistency, compliance, customer experience, merchandising, or brand presentation. EvergreenMakers may also place products into collections, promotions, campaigns, or seasonal features at its discretion.
7. Pricing and Promotions
You are responsible for setting your product prices unless a different pricing arrangement is agreed to in writing.
If you choose to offer a sale or promotion, the reference price and discount must be genuine, accurate, and not misleading. EvergreenMakers may remove or reject promotional pricing that appears inaccurate, unsupported, confusing, or inconsistent with marketplace policy.
EvergreenMakers may run marketplace level promotions, discount codes, collection features, or campaign placements. Participation in certain promotions may require vendor approval or may be subject to additional rules communicated in advance.
8. Orders and Fulfillment
You agree to fulfill accepted orders promptly and professionally. Unless EvergreenMakers provides a different written standard, vendors are expected to ship orders within 48 hours after order confirmation, excluding weekends, holidays, and approved exceptions.
You must use accurate shipping information, provide tracking when required, package products appropriately, and notify EvergreenMakers promptly if you cannot fulfill an order.
If an item becomes unavailable, delayed, backordered, damaged, or otherwise cannot be shipped as promised, EvergreenMakers may cancel the order, notify the customer, issue a refund, or take other reasonable corrective action.
9. Returns, Refunds, and Chargebacks
EvergreenMakers may establish a marketplace return and refund policy that vendors must follow. Unless another policy is posted or agreed in writing, vendors are expected to cooperate with a customer return request made within 14 days after confirmed delivery.
Return decisions may depend on the reason for the return, the product condition, applicable law, and marketplace policy. Products returned because of damage, defects, incorrect fulfillment, or seller error may be refunded at the vendor's expense. Customer remorse returns may be handled according to the marketplace return policy then in effect.
You authorize EvergreenMakers to issue refunds, credits, return labels, or order adjustments when EvergreenMakers reasonably believes it is necessary to resolve a customer issue, comply with law, respond to a chargeback, or protect the customer experience.
Chargebacks, payment disputes, fraud losses, return costs, order corrections, and other marketplace losses connected to your products or fulfillment may be deducted from current or future payouts.
10. Fees, Commissions, and Payouts
Unless EvergreenMakers states otherwise in writing, the standard vendor commission is 15 percent of each completed sale.
EvergreenMakers may deduct commissions, refunds, chargebacks, return related costs, shipping related costs, payment processing adjustments, and other amounts owed before sending payout.
Current payout timing may include a reserve period before funds are released. As of the current marketplace policy, payouts are generally issued weekly on Thursdays, with a 14 day reserve hold, subject to review for fraud, disputes, returns, chargebacks, compliance concerns, or processor delays.
EvergreenMakers may change fees, payout timing, reserve periods, or financial procedures by giving reasonable notice.
11. Taxes and Payment Processing
EvergreenMakers and its payment providers may collect, hold, remit, verify, or report amounts as required by law, marketplace policy, payment processor requirements, or risk controls.
You are responsible for your own business taxes, reporting obligations, permits, registrations, and records, except where EvergreenMakers is legally required to collect and remit certain taxes as the marketplace.
You agree to provide valid tax and payout information and to update it promptly if it changes.
12. Product Safety, Complaints, and Recalls
You must notify EvergreenMakers immediately if you learn of any safety concern, product defect, contamination issue, labeling issue, regulatory inquiry, customer injury claim, recall, or other problem that could affect your products or customers.
You agree to cooperate fully with EvergreenMakers in investigating customer complaints, safety issues, product removals, corrective actions, or recalls. EvergreenMakers may suspend listings, cancel orders, notify customers, issue refunds, remove products, or take other reasonable action to protect customers and the marketplace.
13. Customer Service and Communications
EvergreenMakers may communicate with customers about orders, returns, shipping issues, and marketplace support. Vendors must respond to reasonable marketplace requests within the time requested or, if no time is stated, promptly.
You may not send customers off platform marketing, ask them to bypass the marketplace, or use customer data outside of order fulfillment and related customer service unless you have separate lawful permission.
14. Intellectual Property Complaints
If EvergreenMakers receives a complaint or reasonably believes that a product, listing, image, brand asset, or other content may infringe another party's rights, EvergreenMakers may remove the listing, suspend related products, withhold payouts tied to the matter, or suspend the account while the issue is reviewed.
15. Account Suspension or Termination
EvergreenMakers may suspend, limit, or terminate your account or listings at any time if EvergreenMakers believes there is a risk involving safety, fraud, legal compliance, customer harm, repeated policy violations, poor fulfillment, nonpayment, intellectual property issues, reputational harm, or misuse of the platform.
You may stop selling on the marketplace at any time by giving written notice and completing all open orders, returns, refunds, and outstanding obligations.
Termination does not erase any rights, obligations, fees, deductions, repayment duties, indemnity obligations, or claims that arose before termination.
16. Indemnification
You agree to defend, indemnify, and hold harmless EvergreenMakers, its owners, affiliates, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, judgments, settlements, penalties, costs, and reasonable attorneys' fees arising out of or related to:
your products
your listings or content
your breach of these terms
your violation of law
your infringement of any rights of another person or company
your acts, omissions, shipping errors, defects, recalls, injuries, or customer disputes.
17. Disclaimer of Warranties
EvergreenMakers provides the marketplace, seller tools, and related services on an as available and as is basis, to the fullest extent allowed by law. EvergreenMakers does not promise uninterrupted service, error free operation, guaranteed sales volume, guaranteed traffic, guaranteed placement, or guaranteed results.
18. Limitation of Liability
To the fullest extent allowed by law, EvergreenMakers will not be liable for any indirect, incidental, special, consequential, exemplary, or lost profit damages arising out of or related to the marketplace, even if advised of the possibility of such damages.
To the fullest extent allowed by law, EvergreenMakers' total liability arising out of or related to your use of the marketplace will not exceed the total commissions retained by EvergreenMakers from your sales during the six month period before the event giving rise to the claim.
Nothing in these terms limits liability where such limitation is not allowed by law.
19. Independent Relationship
Nothing in these terms creates an employment, franchise, joint venture, agency, partnership, or exclusive relationship between you and EvergreenMakers. You are an independent business using the marketplace to sell your products.
20. Changes to These Terms
EvergreenMakers may update these terms from time to time. Updated terms may be posted on the website or provided during onboarding, by email, or through the vendor portal. Your continued use of the marketplace after updated terms take effect means you accept the updated terms.
21. Governing Law and Disputes
These terms are governed by the laws of the State of Washington, without regard to conflict of law rules.
Before filing a lawsuit, both sides agree to first try in good faith to resolve the dispute informally by written notice and discussion for at least 30 days.
If a dispute cannot be resolved informally, it must be brought in the state or federal courts located in Washington, and each side agrees to personal jurisdiction and venue there, unless applicable law requires otherwise.
22. Entire Agreement
These terms, together with any marketplace policies, onboarding materials, payout policies, return policies, shipping policies, and any written addenda accepted by both sides, form the full agreement between you and EvergreenMakers regarding your use of the marketplace.
23. Acceptance
By checking the acceptance box and submitting your vendor application, you confirm that you have read, understood, and agree to these Vendor Terms and Conditions.
